Agreement to Terms

These Terms of Service ("Terms") constitute a binding agreement between you and the owner and operator of Idaho PTAC (Idaho Public Token Access Center) ("Idaho PTAC," "we," "us," or "our"). By accessing or using idahoptac.org and any content, features, or services provided thereon (collectively, the "Services"), you agree to be bound by these Terms and all applicable laws and regulations in the United States of America. If you do not agree, do not access or use the Services.

We may update these Terms from time to time. The "Last Updated" date will reflect the most recent changes. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

About Idaho PTAC

Idaho PTAC is a community-driven hub for blockchain and cryptocurrencies offering educational resources, coin research, exchange reviews, airdrop calendars, market insights, and general Web3 knowledge. The Services are provided for informational and educational purposes only and are not tailored to any specific individual or entity.

Eligibility and Accounts

You must be at least 18 years old to use the Services. If you are 13–17 years old, you may use the Services only with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf. The Services are not intended for children under 13 years old.

Where account creation is offered, you agree to provide accurate, current, and complete information and to update it as needed. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must promptly notify us of any unauthorized access or security breach.

No Investment, Legal, or Tax Advice

All content on the Services is provided for informational and educational purposes only and is not intended as, and shall not be construed as, investment, financial, legal, accounting, or tax advice. Idaho PTAC is not a broker-dealer, investment adviser, money transmitter, or fiduciary. You are solely responsible for your decisions and for consulting qualified professionals before making any financial, legal, or tax decisions.

Digital Asset Risks

Digital assets (including cryptocurrencies and tokens) involve substantial risk, including market volatility, liquidity constraints, technological failures, regulatory changes, security breaches, loss of private keys, and potential total loss of value. Past performance does not guarantee future results. You acknowledge that you are solely responsible for evaluating these risks before participating in any digital asset activity.

No Custody; Third-Party Services

Idaho PTAC does not hold, manage, or custody user funds, private keys, or digital assets. The Services may reference, review, or link to third-party exchanges, wallets, protocols, airdrops, and other offerings (collectively, "Third-Party Services"). We do not control, endorse, or assume responsibility for Third-Party Services, their security, availability, pricing, terms, or compliance. Your use of Third-Party Services is solely at your own risk and subject to those third parties’ terms and policies.

User Content and Community Standards

User Content License

If you post, submit, or otherwise make available any content, data, text, images, or materials through the Services ("User Content"), you grant Idaho PTAC a nonexclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such User Content in connection with operating, improving, and promoting the Services. You represent and warrant that you own or have the necessary rights to grant this license and that your User Content does not infringe the rights of any third party.

Prohibited Conduct

  • Violating laws or regulations, including sanctions, export controls, anti-money laundering, or securities laws.
  • Posting or transmitting unlawful, infringing, deceptive, fraudulent, harmful, defamatory, harassing, hateful, discriminatory, or otherwise objectionable content.
  • Engaging in market manipulation, deceptive trading practices, or dissemination of false or misleading information.
  • Attempting to gain unauthorized access to any systems, data, or personal information; introducing viruses, malware, or harmful code.
  • Scraping, crawling, data mining, or bulk harvesting of the Services without our prior written consent.
  • Impersonating any person or entity, or misrepresenting your affiliation.
  • Interfering with the operation of the Services or imposing an unreasonable load on our infrastructure.

Moderation and Enforcement

We may, at our sole discretion, remove or restrict User Content, suspend or terminate accounts, or take other appropriate action if we believe these Terms have been violated or to protect users, the community, or our operations. We are not obligated to monitor User Content but may do so.

Airdrops, Promotions, and Reviews

Information about airdrops, promotions, exchange reviews, and similar content is provided "as is" for informational purposes only. We do not verify, endorse, or guarantee any Third-Party Service, reward, eligibility, distribution, or outcome. You are responsible for reviewing and complying with applicable terms, legal requirements, and tax obligations. We may receive compensation or non-monetary consideration for reviews, listings, or referrals; such relationships, if any, do not constitute endorsements and do not affect our disclaimers.

Intellectual Property

The Services, including all text, graphics, logos, images, software, and other materials, are owned by or licensed to Idaho PTAC and are protected by copyright, trademark, and other intellectual property laws. Except as expressly permitted by these Terms or applicable law, you may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, or otherwise use the Services or any portion thereof without our prior written consent.

Feedback and Submissions

If you provide ideas, suggestions, proposals, or other feedback ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit the Feedback without restriction or compensation to you.

DMCA and Copyright Complaints

We respect intellectual property rights. If you believe your copyrighted work has been infringed on the Services, you may send a DMCA notice to our designated agent containing the information required by 17 U.S.C. § 512(c)(3). Our designated agent for notice is:

Upon receipt of a valid notice, we may remove or disable access to the allegedly infringing material and take reasonable steps to notify the affected user. Counter-notices may be submitted pursuant to 17 U.S.C. § 512(g).

Privacy

Our handling of personal information is described in our privacy practices, which are separate from these Terms. By using the Services, you consent to our collection, use, and disclosure of information as described in our privacy disclosures. Do not submit sensitive personal information through public or community features.

Security

We implement reasonable technical and organizational measures designed to protect the Services; however, no method of transmission or storage is completely secure. You are responsible for maintaining appropriate security measures for your devices, accounts, seed phrases, and private keys.

Payments and Donations

Where applicable, fees, paid features, or voluntary donations will be disclosed at the point of transaction. All amounts are due as stated and are non-refundable unless expressly provided otherwise. You authorize us to charge your selected payment method for amounts due. You are responsible for any bank, network, gas, or blockchain fees.

Taxes

You are solely responsible for determining and fulfilling any tax obligations (including reporting and payment) arising from your use of the Services or participation in digital asset activities, airdrops, or promotions.

Third-Party Links and Services

The Services may reference or provide access to Third-Party Services. We do not control and are not responsible for such services. Your interactions with Third-Party Services are solely between you and those third parties and are governed by their terms and policies.

Compliance with Laws; Export and Sanctions

You agree to comply with all applicable laws, rules, and regulations, including U.S. export control and sanctions laws. You represent that you are not located in, under the control of, or a national or resident of any jurisdiction subject to comprehensive U.S. sanctions and that you are not a denied or restricted party.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, ERROR-FREE, SECURE, OR UNINTERRUPTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL IDAHO PTAC, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT LIABILITY IS NOT EXCLUDABLE, OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID TO US, IF ANY, FOR ACCESSING THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Idaho PTAC and its owners, officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

Arbitration Agreement and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH US AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF.

You and Idaho PTAC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules. The seat of arbitration shall be Boise, Idaho. The arbitrator shall have exclusive authority to resolve all disputes, including the interpretation, applicability, enforceability, or formation of this arbitration agreement. Judgment on the award may be entered in any court of competent jurisdiction.

Class and Representative Actions Waiver: You and Idaho PTAC agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

Small Claims and Injunctive Relief: Either party may seek relief in a small claims court of competent jurisdiction for claims within that court’s scope. Either party may also seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property or prevent unauthorized access or use of the Services pending arbitration.

Opt-Out of Arbitration

You may opt out of this arbitration agreement by sending written notice within thirty (30) days of your first use of the Services or the "Last Updated" date of these Terms, whichever is later. Your notice must include your full name, mailing address, the email address associated with your use of the Services, and a clear statement that you wish to opt out of arbitration. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Idaho, without regard to its conflicts of law principles, except to the extent preempted by U.S. federal law. Subject to the arbitration agreement above, the exclusive venue for any permitted court proceedings shall be state or federal courts located in Ada County, Idaho, and you consent to the personal jurisdiction of such courts.

Termination and Suspension

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason or no reason, including if we believe you have violated these Terms. Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, limitations of liability, indemnification, and dispute resolution.

Changes to the Services and Terms

We may modify, suspend, or discontinue all or any part of the Services at any time without liability. We may also update these Terms from time to time. Changes are effective when posted unless otherwise specified. Your continued use of the Services following changes constitutes acceptance of the updated Terms.

By using the Services, you consent to receive communications from us electronically. You agree that all notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

Miscellaneous

These Terms constitute the entire agreement between you and Idaho PTAC regarding the Services and supersede any prior or contemporaneous agreements on the subject matter. If any provision is found unenforceable, it will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms without restriction. We are not liable for any delay or failure to perform due to events beyond our reasonable control (force majeure). The headings used in these Terms are for convenience only and have no legal effect.
